Terms of Service
These terms govern your access to and use of the Bitbase website, products, and services. By using them, you agree to these terms.
1. Agreement
These Terms of Service ("Terms") are a binding agreement between you (and the organization you represent) and Bitbase Technologies Inc ("Bitbase"), a U.S. C‑Corporation registered in the State of Texas (File No. 806426299; EIN 41‑4105913). Paid engagements are additionally governed by a signed Statement of Work (SOW) and Master Services Agreement (MSA); if those conflict with these Terms, the signed agreement controls for that engagement.
2. Eligibility & accounts
You must be at least 18 and able to form a contract. You are responsible for your account credentials, for activity under your account, and for maintaining two-factor authentication where required. Notify us promptly of any unauthorized use.
3. Acceptable use
You agree not to:
- Access the products without authorization or beyond your granted role.
- Reverse engineer, resell, or circumvent security or usage controls.
- Upload unlawful, infringing, or malicious content.
- Interfere with the integrity or performance of the platform.
4. Services & deliverables
Bitbase provides consulting and engineering services delivered through the 11-phase Bitbase Consulting Infrastructure System (BCIS). The specific scope, milestones, and fees for an engagement are defined in the applicable SOW. Changes are handled through written change requests with cost and schedule impact stated in advance.
5. Client responsibilities
Timely delivery depends on your cooperation: providing access, information, approvals, and decisions when reasonably requested. Delays in your inputs may affect timelines and fees.
6. Fees, invoicing & payment
- Fees are billed against milestones or on a retainer, as stated in the SOW, on Net 30 terms unless agreed otherwise.
- Accepted methods include crypto (Bitcoin/Lightning), stablecoin (USDT/USDC), bank ACH/wire, and card via Stripe. Card payments may carry a processing fee.
- Crypto and stablecoin payments are irreversible; confirm the receiving address before sending. Settlement is confirmed on-chain via our provider.
- Past-due balances accrue 1.5% per month (18% APR) where permitted by law.
7. Intellectual property
Upon full payment for the relevant deliverables, ownership of the custom source code and documentation created for your engagement transfers to you, as detailed in the SOW. Bitbase retains ownership of its pre-existing materials, tools, and general know-how, and grants you a license to use them as embedded in the deliverables. We do not lock clients in.
8. Confidentiality
Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms, consistent with any signed mutual NDA.
9. Third-party services
The platform integrates third-party services (e.g. Vercel, Stripe, Circle, BTCPay Server, Okta, OpenAI). Your use of those services may be subject to their own terms, and we are not responsible for their acts or omissions.
10. Warranties & disclaimers
We perform services in a professional, workmanlike manner. Except as expressly stated in a signed agreement, the website and products are provided "as is" without warranties of any kind, to the fullest extent permitted by law.
11. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages. Bitbase's aggregate liability arising from an engagement will not exceed the fees paid for that engagement in the 12 months preceding the claim.
12. Indemnification
Each party will indemnify the other against third-party claims arising from its breach of these Terms, its unlawful conduct, or its infringement of third-party rights, subject to prompt notice and cooperation.
13. Term & termination
Either party may terminate an engagement with 30 days' written notice, or immediately for material breach not cured within 15 days. On termination, work completed to date is payable and, on full payment, deliverables and source produced to date transfer to you.
14. Governing law & disputes
These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-laws rules. The parties will attempt to resolve disputes in good faith before pursuing binding arbitration or the courts located in Texas.
